Terms of Service

These Terms of Service (“Terms”) govern access to and use of pavlovkoreaconsulting.com and any consultations or related materials provided by Pavlov Korea Consulting (“PKC,” “we,” “us,” or “our”). By accessing the website or booking any session, you agree to these Terms.

1. Scope of Services

PKC provides business consulting services relating to Korea market entry, market research, cultural insights, and partner access introductions (collectively, the “Services”). The Services are informational and strategic in nature. PKC is not a law firm, financial advisor, tax advisor, investment advisor, or broker. Nothing in the Services constitutes legal, financial, tax, or investment advice. You remain solely responsible for your decisions and compliance obligations.

2. Eligibility and Business Use

The Services are intended for organizations and their authorized representatives who are 18+. By using the Services, you represent that you are acting on behalf of a business and have authority to bind that business to these Terms.

3. Bookings, Payments, and Cancellations

3.1 Bookings. Consultations are scheduled through our online booking system. Time zone, duration, and format are as displayed at booking.
3.2 Payments. Fees are due at booking and processed by a third-party payment provider. You authorize charges for applicable taxes and processing fees.
3.3 Cancellations and Refunds. All bookings are non-refundable unless canceled at least 48 hours before the scheduled start time. Timely cancellations may be refunded or rescheduled at PKC’s discretion. No-shows and late cancellations are non-refundable.
3.4 Rescheduling. PKC may reschedule for cause (e.g., illness, technical failure). If PKC cancels and rescheduling is not possible, fees for the affected session will be refunded.

4. Client Responsibilities

You are responsible for: (a) providing accurate information, (b) making timely decisions, (c) obtaining independent legal, tax, accounting, regulatory, or investment advice where required, and (d) complying with applicable laws, including trade, sanctions, and anti-bribery rules.

5. Anti-Bribery, Sanctions, and Export Controls

You agree to comply with all applicable anti-bribery and anti-corruption laws (including principles akin to FCPA/UK Bribery Act), sanctions programs, and export controls. PKC does not facilitate bribery, improper payments, or unlawful advantages. Introductions made by PKC are for legitimate business purposes only.

6. Confidentiality

Each party will treat non-public business information received from the other as confidential and use it solely for the engagement. Confidentiality does not apply to information that is or becomes public, already known, independently developed, or disclosed under legal process. Website forms and standard email are not guaranteed to be secure; do not submit sensitive data unless necessary.

7. Deliverables and Intellectual Property

7.1 Deliverables. Written reports, briefs, or slides provided to you (“Deliverables”) are for your internal business use. Upon full payment, PKC grants you a non-exclusive, non-transferable license to use Deliverables within your organization.
7.2 PKC Materials. Methodologies, templates, know-how, and tools used to create Deliverables remain PKC’s intellectual property. No rights are granted except as expressly stated.

8. Website Content and Acceptable Use

All content on the website (text, graphics, logos, images) is owned by PKC or its licensors and protected by law. You may not copy, scrape, modify, distribute, reverse engineer, or create derivative works without prior written consent. You may not misuse the website or interfere with its operation.

9. Third-Party Services

The website and booking/payment functions may rely on third-party platforms. PKC is not responsible for third-party services and disclaims liability for their acts or omissions. Your use of third-party services is governed by their terms.

10. No Warranties

THE SERVICES AND WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PKC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Business outcomes are not guaranteed.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PKC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY.
PKC’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU TO PKC FOR THE SPECIFIC SESSION OR ENGAGEMENT GIVING RISE TO THE CLAIM, OR EUR 100, WHICHEVER IS GREATER. These limits apply regardless of the legal theory and even if PKC has been advised of the possibility of damages.

12. Indemnification

You will defend, indemnify, and hold harmless PKC and its personnel from and against claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services, (b) your breach of these Terms, or (c) your violation of law or third-party rights.

13. Force Majeure

PKC is not liable for delays or failures caused by events beyond its reasonable control, including acts of God, government actions, labor disputes, failures of suppliers or networks, or emergencies.

14. Modifications

PKC may update these Terms from time to time. The “Last updated” date will change accordingly. Continued use of the website or Services after changes become effective constitutes acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of Bulgaria and applicable European Union law, without regard to conflict-of-laws rules. The courts of Sofia, Bulgaria will have exclusive jurisdiction. Before filing suit, the parties will attempt in good faith to resolve disputes within 30 days.

16. Assignment

You may not assign or transfer these Terms or any rights or obligations without PKC’s prior written consent. PKC may assign to a successor or affiliate.

17. Entire Agreement; Severability; No Waiver

These Terms constitute the entire agreement regarding the website and Services and supersede prior communications. If any provision is held invalid, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver.
